Amy is an experienced business attorney who focuses her practice on acquisitions and divestitures, entity formations, and contract issues. Much of her career centered around the oil and gas industry, providing legal guidance on all facets of the development, daily operations, and sale of natural gas midstream projects. Prior to joining Martin Powers & Counsel, LLPC, Amy spent almost two decades as General Counsel and EVP for Tristate Midstream, a midstream portfolio company of Energy Spectrum Capital Partners. As an equity owner, she served as a key member of the senior management team involved with all critical strategic and administrative decisions during the lifespan of Tristate. Her expertise includes drafting, reviewing, and negotiating gas gathering and purchase agreements; operating agreements; right-of-way agreements and master service agreements; oversight of all land matters related to midstream operations; and regulatory compliance at the local, state, and federal level. In running a lean organization, she developed a keen understanding of the need to act quickly, manage costs, and apply creative solutions to overcome the big and small challenges that inevitably arise in the course of any business. Amy engaged in consistent communication with operations, accounting, and business development teams to foster integrated business communication and legal compliance. She provided legal oversight of multiple credit facilities, board presentations, and the acquisition and divestiture of regulated and non-regulated natural gas pipelines spanning the Haynesville, Bossier, and Cotton Valley plays of Texas and Louisiana.
Law is Amy’s second career. She graduated high school early to become a professional ballet dancer. After five years with the Oklahoma City Ballet, she went to college, obtained an undergraduate degree in psychology, and ultimately attended law school. Because of this varied background, she brings creativity, a thoughtful perspective, and disciplined hard work to her legal career and her clients.

Oil and Gas Transactions
- In-House legal lead on $150MM midstream divestiture to Energy Transfer Partners and $65MM midstream divestiture to Crestwood Midstream Partners
- Legal lead on acquisition of 350 miles of pipe from Forest Texas Gathering including the negotiation and drafting of a 10-year acreage dedication with Forest Oil
- Project and legal lead on FERC spin down of 200 miles of pipe acquired from Gulf South Pipeline involving the conversion from gas to alternate fuel of ___ customers
- Draft Gas Gathering Agreement for a 6,4000-acre life of lease dedication with complex working interest and construction obligation mechanisms
- Renegotiated and drafted Gas Gathing Agreement with Sabine Oil & Gas during Sabine’s Chapter 11 reorganization
- Brought contractor dispute to arbitration and obtained favorable settlement along with release of lien against company assets
- Ensured regulatory compliance with DOT, Railroad Commission of Texas, Louisiana Department of Natural Resources, PHMSA and FERC for ongoing midstream operations as well as those relevant to an acquisition or sale of midstream assets.
- Successfully appealed PHMSA determination and obtained reclassification of acquired pipeline from distribution to gathering under API RP 80
- Analyzed midstream assets and ensured compliance with 2021 PHMSA “Mega Rule” for gas gathering pipelines
Corporate Governance and HR Matters
- Served as Corporate Secretary presenting at board meetings, preparing and maintaining corporate records, and ensuring compliance with statutory and private equity requirements for 16 years.
- Legal lead on revolving lines of credit from Amegy, Comerica, and Cadence banks.
- Developed and implemented employee review program improving consistency of oversight and accountability for employees and supervisors
- Maintained and oversaw a specialized network of outside counsel (including lower cost alternatives) to assist in targeted legal assistance
